1. PURPOSE
Nomi agrees to provide access to its software products including accounting, tax, payroll, practice management, bookkeeping and related services. The Client agrees to pay for the use of the Software in accordance with this Agreement.
2. TERM
This Agreement runs from the Start Date until the End Date.
3. TERMINATION
Annual Upfront. Fixed term not cancellable, paid upfront
Billed Monthly Bundle. Fixed term not cancellable. After End Date charges continue on Pay As You Go (PAYG)unless renewed. One month notice required if stopping after End Date.
Pay As You Go. Terminable anytime with one month notice.
4. INVOICING AND PAYMENT
Annual Upfront. After upfront payment, no further invoices during the term.
Billed Monthly Bundle. Monthly invoice collected via Direct Debit.
Pay As You Go. Monthly invoice collected via Direct Debit.
5. TERMS AND CONDITIONS
This Agreement incorporates Nomi’s Terms and Conditions at www.nomi.co.uk/terms-and-conditions. These take priority over conflicting clauses.
6. USAGE LIMITS
Usage is limited to the quantities stated. Additional capacity requires an upgrade or additional bundle agreed in writing. Nomi may allow temporary usage on Pay As You Go terms.
7. COMMERCIAL AGREEMENT
This is a business to business Agreement. Consumer law does not apply.
8. DATA PROTECTION GDPR
Both parties will comply with all data protection laws. Nomi’s Data Processing Addendum forms part of this Agreement.
9. LIABILITY
Liability is limited in accordance with the Terms and Conditions. Nomi is not liable for loss of profits, loss of data or indirect loss except where prohibited by law.
10. ENTIRE AGREEMENT
This Agreement and the Terms and Conditions constitute the entire agreement between the parties.
11. GOVERNING LAW AND JURISDICTION
This Agreement is governed by the laws of England and Wales.
